Corporate Transparency Act Enforcement Indefinitely Suspended Against U.S. Citizens and Domestic Reporting Companies

Following up on the announcement last week by FinCEN that enforcement of beneficial ownership information (BOI) reporting deadlines would be temporarily suspended until new rules could be proposed, the Department of the Treasury on March 2, 2025 issued a more definitive statement that it will not enforce any penalties or fines against U.S. citizens or domestic reporting companies or their beneficial owners even after the forthcoming rule changes take effect. The Treasury Department announced that it will further be issuing a proposed rule that will narrow the scope of the BOI reporting requirements to foreign reporting companies only. It remains uncertain what the final rules and requirements will be, but as of March 2, 2025, the Department of the Treasury has clearly stated that it will not pursue enforcement against any U.S. citizens or domestic reporting companies or their beneficial owners for failure to report, thereby effectively negating any reporting requirements that may have otherwise taken effect. This is the most conclusive step toward a potential permanent policy change that has been issued so far, but it is not yet final, so we will continue to monitor this issue for further developments.
